These Terms of Use apply to your access to and use of the Proteance website, including its pages, content, and any contact or briefing request features made available through the site (collectively, the “Site”).
In these Terms, “Proteance”, “we”, “us”, and “our” mean Proteance Inc.
By accessing, browsing, or using the Site, you agree to be bound by these Terms of Use. If you do not agree, please do not use the Site.
These Terms of Use apply only to the Site. They do not alter, replace, or override any separate agreement you may have with Proteance for products, services, software, consulting, implementation work, or any other commercial engagement.
1. Use of the Site
You may use the Site only for lawful purposes and only in a way that is consistent with these Terms of Use.
You may view, download, and print pages from the Site for your own internal, informational, and non-commercial use, provided that you do not remove any copyright, trademark, or other proprietary notices.
You may not:
- use the Site in any unlawful, fraudulent, abusive, or misleading manner
- interfere with or disrupt the operation or security of the Site
- attempt to gain unauthorized access to any part of the Site, its hosting environment, or related systems
- scrape, harvest, mine, or extract data from the Site using robots, bots, crawlers, or similar automated means without our prior written permission
- frame, mirror, reproduce, republish, or redistribute substantial portions of the Site without our prior written consent
- introduce malware, harmful code, or any material intended to impair the Site or its users
We reserve the right to restrict, suspend, or terminate access to the Site if we believe these Terms have been violated.

While we take reasonable measures to protect the Site, no internet-based communication or transmission method is completely secure. If you communicate with us through the Site or by email, you acknowledge that such communications may not always be secure and that, to the extent permitted by law, Proteance is not responsible for losses arising from interception, delay, corruption, or unauthorized access during transmission.

The Site and its contents, including text, design, layout, branding, graphics, logos, icons, visuals, and other material made available through the Site, are owned by Proteance or its licensors and are protected by applicable intellectual property laws.
Except for the limited right to use the Site as expressly described in these Terms, nothing on the Site grants you any licence or right to use any copyright, trademark, logo, trade name, or other intellectual property of Proteance or any third party without prior written permission.

The Site may contain links to third-party websites, platforms, or resources for convenience only.
Proteance does not control and is not responsible for the content, availability, security, privacy practices, or accuracy of third-party websites. A link does not imply endorsement, approval, or affiliation unless expressly stated.
If you leave the Site, you should review the applicable terms and privacy policies of the third-party site you visit.
7. No Warranties
The Site and all content made available through it are provided on an “as is” and “as available” basis.
To the fullest extent permitted by applicable law, Proteance disclaims all representations, warranties, and conditions, express, implied, or statutory, including any implied warranties or conditions of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, or uninterrupted operation.
We do not warrant that the Site will always be available, secure, error-free, or free of viruses or other harmful components.
8. Limitation of Liability
To the fullest extent permitted by applicable law, Proteance and its directors, officers, employees, contractors, representatives, and affiliates will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for any loss of data, revenue, profits, business opportunity, goodwill, or anticipated savings, arising out of or in connection with:

- your access to, use of, or inability to use the Site
- your reliance on any Site content
- any interruption, error, omission, delay, defect, malware, or security event affecting the Site
- any third-party websites or resources linked from the Site
If, despite the foregoing, Proteance is found liable for any claim relating to the Site, Proteance’s total liability will be limited to the minimum extent permitted by applicable law.
Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you.
9. Indemnity
You agree to indemnify and hold harmless Proteance and its directors, officers, employees, contractors, and representatives from and against claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising from your misuse of the Site or your breach of these Terms.
10. Changes to the Site and These Terms
We may update, modify, suspend, or discontinue any part of the Site at any time without notice.
We may also revise these Terms of Use from time to time. If we do, we will post the updated version on this page and revise the effective date above. Your continued use of the Site after revised Terms are posted constitutes your acceptance of the updated Terms.
11. Governing Law
These Terms of Use are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles.
Any dispute arising out of or relating to these Terms or the Site will be subject to the exclusive jurisdiction of the courts of Ontario, unless applicable law requires otherwise.
12. General
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.
Proteance’s failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other right.
These Terms constitute the entire agreement between you and Proteance with respect to your use of the Site, but do not replace any separate written agreement between you and Proteance relating to products or services.
